A UAE company formation timeline has five phases: the trade licence, the establishment card, the residence visa and Emirates ID, the company bank account, and the ownership and tax registrations whose deadlines start once the company exists. The official anchors are a free zone licence within 14 working days of approval, a stated 2 days each for the establishment card and residency permit services of the Federal Authority for Identity, Citizenship, Customs and Port Security (ICP), and Corporate Tax registration due within 3 months of incorporation. How long the full company setup process takes end to end depends on your route, your activity, where your company documents come from and your bank, so no UAE authority publishes a single total.
As of September 2026, this guide sets out each step in the order the authorities handle it, with the official time or deadline and its source. Where no authority publishes a time, it says so. Use it to plan your travel dates, your office lease, your first hires and your first invoices. If you have not yet decided between a free zone or mainland company, settle that first, because the route decides which licensing steps apply to you.
The UAE Company Formation Timeline at a Glance
The UAE company formation timeline runs through five phases in a fixed order. The list below names who handles each phase, what it produces and its official time or deadline.
The Five Phases in Order
Trade licence, issued by the free zone authority or, on the mainland, by the economic department of your emirate. Free zone: within 14 working days of review and approval. Mainland: the conventional application has no official service time for the whole step, but the licence fee must be paid within 30 days of the payment voucher; the UAE Government separately says its federal Basher platform lets investors establish a business online in 15 minutes.
Establishment card, the company's immigration file, which records the trade name, licence number, partners and activity. ICP states a completion time of 2 days.
Residence visa and Emirates ID, first for you and later for your employees. ICP states 2 days for its residency permit service, and the residence steps must be finished within 60 days of entering the UAE.
Company bank account, opened by the bank you choose once the company is licensed. The Central Bank of the UAE (CBUAE) expects banks to be able to complete account opening within 3 business days for applicants they assess as low risk, and sets no time for anyone else.
Ownership and tax registrations. The beneficial owner register is due within 60 days, Corporate Tax registration within 3 months of incorporation, and VAT registration within 30 days of crossing the AED 375,000 threshold.
Why There Is No Single Official Total
The phases overlap, and several depend on things no licensing office controls: how quickly foreign documents are attested, whether your activity needs a regulator's approval, and how much checking your bank does. That is why this guide gives the official time for each step where one exists, and no overall figure. Treat any single number for the whole process as an estimate rather than an official time, and plan around the steps that carry a deadline.
Before the Clock Starts: Decisions That Set Your Timeline
Three decisions made before you apply set which steps you will face: your activity and legal form, your route, and whether a sector regulator must approve your activity. Make them first, because each one fixes part of the sequence that follows.
Pick Your Activity and Legal Form
There are more than 2,000 business activities to choose from in the UAE, and the one you pick decides your licence type and whether extra approvals apply (Source: u.ae). The legal form matters for timing too. On the mainland, limited partnerships, LLCs, PJSCs and PrJSCs need a Memorandum of Association (MoA) prepared and attested by a UAE law firm, a court or the notary public, and some forms need a local service agent agreement attested by the notary public or a court.
Choose Your Route
The free zone route runs through one free zone authority and an online application. The mainland route runs through the economic department of your emirate and a longer chain of approvals, set out in Phase 1 below. Ownership is no longer a reason on its own to choose a free zone for most activities: since Federal Decree-Law No. 26 of 2020 took effect in early 2021, foreign investors can own up to 100% of most mainland companies, although activities of strategic impact, such as banking, financing, insurance, telecommunications, and security and defence, can still carry ownership restrictions (Source: u.ae).
Check Whether Your Activity Needs a Regulator
Some activities need a sector regulator's approval on top of the licence, which adds that regulator's own step to your timeline. For the mainland, the UAE Government lists examples including the Central Bank of the UAE for banks, money exchange, financing and insurance; the Securities and Commodities Authority for financial consultation, share broking and investment advisory; the Telecommunications and Digital Government Regulatory Authority for telecoms; and the Ministry of Human Resources and Emiratisation for manpower supply and recruitment. If you are taking the free zone route, ask the zone early whether your activity needs an outside approval.
Phase 1: How Long It Takes to Get a Trade Licence
A UAE trade licence is the permit that lets your company operate, and every later phase waits for it. On the free zone route the UAE Government states an official time; on the mainland route it states a payment deadline but no overall time.
Free Zone Route: Licence Within 14 Working Days of Approval
A free zone licence is applied for online with the free zone authority, and the UAE Government portal states that it is issued within 14 working days after review and approval (Source: u.ae). The steps run in this order.
Select the business sector, then the free zone where you want to set up.
Choose the legal entity and a trade name.
Apply online through the free zone authority's website, giving basic company information and uploading your documents.
Wait for review and approval, after which the licence is issued within 14 working days.
The 14 working days start after approval, and the portal gives no official time for the review itself. Individual free zones publish their own processing times, so confirm the current figure directly with the zone you choose before you plan around it.
Mainland Route: The Steps in Order
On the mainland, the licence comes from the economic department of the emirate where you register, after a fixed chain of approvals (Source: u.ae).
Identify your business activity, select the legal form and open your trade licence application.
Register the trade name.
Foreign investors: obtain approval from the General Directorate of Residency and Foreigners' Affairs (GDRFA). Activities related to legal affairs, security affairs, and financial securities and commodities also need the relevant government entity's approval at this point, before initial approval.
Apply for initial approval, the government's no-objection to the business being established. It lets you move on to the next steps but does not allow you to trade.
Draft and sign the MoA or, where your legal form requires one, the local service agent agreement, and have it attested.
Secure premises that meet the economic department's and the municipality's rules, with a rental agreement that some emirates require to be attested; in Dubai, the tenancy agreement must be registered with Ejari.
Obtain any other government approvals your activity needs.
Submit your documents and pay the licence fee within 30 days of receiving the payment voucher. If it is not paid in that period, the application is cancelled.
Your lease has to be in place before you collect the licence. The economic department asks for the lease contract (attested by RERA in Dubai) together with the initial approval receipt, the attested MoA, any other required approvals and, where one applies, the attested service agent contract.
Two official times apply on this route. The first is the 30-day payment window above. The second is Basher, the federal platform that the UAE Government says lets investors establish a business online in 15 minutes. Whichever way you establish the business, your residence visa and the company bank account remain separate, later phases. The portal gives no service time for the steps of the conventional application, such as initial approval, MoA attestation or tenancy registration, so check current times with the economic department of the emirate where you register.
Phase 2: The Establishment Card
An establishment card is the company's immigration file: an electronic card that records the trade name, licence number, partners and type of activity. The company applies for it after the licence is issued, before it sponsors residence visas for its owners and staff, and ICP states a service completion time of 2 days (Source: ICP).
What You Need to Apply
ICP requires a valid trade licence, and an authorised signatory must provide a valid Emirates ID or, if they have not yet been issued one, a Unified Number. That second option matters for timing: a founder who does not yet hold residency can still be the signatory, so the card does not have to wait for your own Emirates ID. The documents include the trade licence, a signature authorisation letter and, for partnerships, the MoA.
Where to Apply
Free zone companies submit the request through their own free zone authority. For other companies, the authority that handles the card depends on the emirate where the company is registered, and ICP's own list includes local government requirements where they apply, so confirm the right channel and its current processing time before you apply.
Phase 3: How Long a Residence Visa and Emirates ID Take
The residence phase takes you from entering the UAE to holding an Emirates ID. ICP states a service completion time of 2 days for its residency permit service, which covers investors and employees of private and free zone companies, and your stay must not exceed 60 days from the date of entry while the residence procedures are completed (Source: ICP).
The Four Steps in Order
Enter the UAE. The 60-day window for completing the residence procedures starts on your date of entry.
Take the medical fitness test, which applies to applicants aged 18 and over, and pass the security check.
Give your fingerprints and signature for the Emirates ID at an ICP service centre, which applies to applicants aged 15 and over.
Receive your residency permit, which is issued linked to your Emirates ID application.
Medical insurance, or a health card, is among the required documents, so arrange cover before you apply (Source: u.ae). Since 11 April 2022, the UAE no longer puts a residence sticker in your passport: the Emirates ID card is the proof of residence, so this phase ends when you hold the card (Source: ICP).
What Is and Is Not Officially Timed
ICP's 2 days applies to its own residency permit service. In Dubai, residence visas are processed by GDRFA Dubai rather than ICP, so check the current time with GDRFA Dubai or your free zone instead of relying on ICP's figure. The UAE Government and ICP pages cited here give no standard time for medical test results, entry permits or ordinary Emirates ID issuance. If you need the card sooner, ICP offers an optional urgent service that issues the Emirates ID within 24 hours (Source: u.ae).
The 60-day limit is the deadline to watch. If the residence steps run past 60 days from entry, ICP imposes a fine of AED 50 for each day of overstay, so book your medical test and biometrics as soon as you arrive.

Phase 4: How Long It Takes to Open a Company Bank Account
A UAE company bank account is opened after the licence, because the account is held in the licensed company's name. The Central Bank of the UAE expects banks to have systems that let them complete account opening within 3 business days for applicants they assess as presenting low money-laundering and terrorist-financing risk, where the bank is satisfied with standard customer due diligence documents (Source: CBUAE Rulebook).
What the 3 Business Days Means
The 3 business days is a regulatory expectation for low-risk applicants, not a promise that any particular account will be opened, or opened in that time. Each bank assesses the company and its owners and makes its own decision.
When It Takes Longer
An applicant the bank does not assess as low risk, or whose file needs more than the standard due diligence documents, falls outside the Central Bank's 3-business-day expectation, and the Central Bank sets no time for those applicants. Applicants who need enhanced due diligence take longer. Apply once the licence is issued, with the company documents and your shareholders' identity documents ready, so the bank's review starts from a complete file.
Phase 5: The Deadlines That Start Once You Are Licensed
Three registrations follow the licence. The beneficial owner and Corporate Tax deadlines start when the company comes into existence, whatever stage your visa or bank account has reached, and the VAT deadline starts when your taxable supplies and imports cross the mandatory registration threshold.
Beneficial owner register, within 60 days. A company covered by Cabinet Decision No. (109) of 2023 must record everyone who owns or controls 25% or more of its capital or voting rights, create that register within 60 days of coming into existence, submit it with the register of partners or shareholders to the registrar within 60 days of licensing and registration, and record any change within 15 days; if the registrar asks for more data, it is due within 14 days (Source: Cabinet Decision No. (109) of 2023, Ministry of Economy and Tourism). Corporate Tax registration, within 3 months. Under Federal Tax Authority (FTA) Decision No. 3 of 2024, a UAE company incorporated on or after 1 March 2024 must apply to register within 3 months of its date of incorporation (Source: Federal Tax Authority). You apply on the FTA's EmaraTax platform, registration is free, and the FTA estimates 20 business days to complete it from the date it receives a complete application. Late registration carries an AED 10,000 penalty, which the FTA's waiver initiative removes if the first tax return is filed within 7 months of the end of the first tax period (Source: Federal Tax Authority).
VAT registration, within 30 days of crossing the threshold. Registration becomes mandatory once taxable supplies and imports exceed AED 375,000 over the past 12 months, and you must apply within 30 days of being required to register; it is voluntary above AED 187,500. The service is free, the FTA estimates 20 business days to process a complete application, and a late application attracts a penalty (Source: Federal Tax Authority). Putting the Deadlines in Your Calendar
The beneficial owner and Corporate Tax deadlines count from incorporation and licensing, not from the day you arrive or open the bank account, so they can fall due while your visa or bank application is still in progress. Set reminders for 60 days and 3 months from the date the company is incorporated, and track your taxable supplies and imports each month so you know when the VAT clock starts. What Slows a UAE Company Setup Down
A UAE company setup slows down when a step depends on something outside the licensing authority's control. Six points in the official process can add time, and each one can be planned for.
Before the Licence
Foreign corporate documents. A document issued outside the UAE, such as a parent company's certificate of incorporation, must be attested through the UAE embassy or consulate in the issuing country before it is used in the UAE, and that step happens outside the UAE licensing timeline (Source: UAE Ministry of Foreign Affairs).
Regulator approvals. An activity that needs a sector regulator, such as the Central Bank for financing or the Securities and Commodities Authority for investment advisory, adds that regulator's own approval step.
GDRFA approval on the mainland. Foreign investors need it before initial approval, so initial approval waits for it.
An unpaid licence voucher. On the mainland, a licence fee not paid within 30 days of the payment voucher cancels the application.
After the Licence
Residence steps not finished in time. Your stay must not exceed 60 days from entry while the residence procedures are completed, and each day over costs AED 50.
Bank due diligence beyond the standard. Applicants who need enhanced checks fall outside the Central Bank's expectation of 3 business days for low-risk applicants.
What You Can Do Before You Arrive, and What Needs You in the UAE
Much of the licence stage can start from abroad, but the residence steps cannot.
From Abroad
Free zone applications are made online through the free zone authority's website, and on the mainland the Basher platform lets investors start online. Begin the attestation of any foreign corporate documents at the UAE mission in their home country first, since that step sits outside the UAE timeline.
In the UAE
The medical fitness test and the Emirates ID fingerprints and signature need you in the UAE, and the 60-day window runs from the day you enter, so plan your arrival for when the company is ready to sponsor your visa.
